These Terms and Conditions (“Terms”) govern your use of the Memmo mobile application and related services (the “Service”) operated by Memmo LLC (“Company,” “we,” “our,” or “us”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

  1. Eligibility

You must be at least 18 years old to use the Service.

By using the Service, you represent and warrant that:

  • You are legally able to enter into a binding agreement.

  • You will comply with all applicable laws.

  • You are authorized to use the Service on behalf of your organization, if applicable.

  1. Description of Service

The Service provides:

  • Audio recording of door-to-door sales interactions

  • Automated analysis of sales pitches

  • Performance analytics and metrics

  • Team management tools

  • Pitch sharing and coaching features

The Service is intended for professional sales training and performance improvement.

  1. Account Registration

To use the Service, you must create an account.

You agree to:

  • Provide accurate and complete information

  • Keep your login credentials secure

  • Notify us immediately of unauthorized access

  • Be responsible for all activity under your account

We reserve the right to suspend or terminate accounts that provide false information.

  1. Subscriptions & Payments

A. Subscription Model

The Service is offered on a subscription basis.

Access to certain features may require a paid subscription.

B. Billing

Payments are processed securely through third-party payment providers (such as Stripe).

By subscribing, you authorize recurring billing according to your selected plan.

C. Refunds

Unless otherwise required by law, subscription fees are non-refundable.

D. Cancellation

You may cancel your subscription at any time. Access will continue until the end of the current billing period.

  1. Recording Laws & User Responsibility

The Service includes audio recording functionality.

You acknowledge and agree that:

  • You are solely responsible for understanding and complying with all applicable federal, state, and local laws related to audio recording and consent.

  • Certain jurisdictions require two-party (all-party) consent before recording conversations. You agree to obtain all required consents prior to recording any interaction.

  • You will provide clear and legally sufficient notice to all parties being recorded where required by law.

  • You will not use the Service to record any individual in violation of applicable privacy, wiretapping, or surveillance laws.

  • The Company does not and cannot monitor, control, or assume responsibility for how users conduct recordings.

  • The Company shall not be liable for any unlawful, unauthorized, or improper recordings made by users.

  • You agree to indemnify, defend, and hold harmless Memmo LLC from and against any claims, damages, liabilities, costs, or expenses (including legal fees) arising out of or related to your recording activities or failure to comply with applicable laws.

  1. Acceptable Use

You agree NOT to:

  • Use the Service for illegal purposes

  • Record conversations in violation of applicable laws

  • Upload malicious code

  • Attempt to reverse engineer the Service

  • Share account credentials

  • Use the Service to harass, exploit, or harm others

  • Attempt to access systems or data not intended for you

We reserve the right to suspend or terminate accounts for violations.

  1. Data Ownership

A. Your Content

You retain ownership of audio recordings and data you create using the Service.

However, you grant us a limited, non-exclusive license to:

  • Store

  • Process

  • Analyze

  • Display

  • and use your content to provide, maintain, and improve the Service, including system functionality and machine learning models.

We may use your content, including identifiable data, internally to operate, maintain, and improve the Service.

B. Aggregated Data

We may use anonymized and aggregated data for:

  • Improving the Service

  • Research and analytics

  • Business insights

Such data will not identify individual users.

  1. Intellectual Property

All software, design, branding, analytics systems, and proprietary technology remain the exclusive property of Memmo LLC.

You may not:

  • Copy

  • Modify

  • Distribute

  • Sell

  • Reverse engineer

any part of the Service without written permission.

  1. Organization Accounts

If you create an organization account:

  • Organization managers may access and review team member recordings and performance data.

  • Reps acknowledge that their recordings may be reviewed by authorized managers within their organization.

By joining an organization, you consent to internal visibility of performance data.

  1. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

Please review it carefully.

  1. Disclaimer of Warranties

The Service is provided “as is” and “as available.”

We do not guarantee:

  • Increased sales

  • Improved performance

  • Specific business outcomes

  • Error-free operation

To the fullest extent permitted by law, we disclaim all warranties, express or implied.

  1. Limitation of Liability

To the maximum extent permitted by law:

Memmo LLC shall not be liable for:

  • Indirect, incidental, or consequential damages

  • Lost profits

  • Business interruption

  • Data loss

  • Legal claims resulting from recording violations

Our total liability shall not exceed the amount paid by you in the preceding 12 months.

  1. Indemnification

You agree to indemnify, defend, and hold harmless Memmo LLC from any claims, damages, liabilities, or expenses arising from:

  • Your misuse of the Service

  • Violation of recording laws

  • Violation of these Terms

  1. Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

We are not liable for any modification, suspension, or discontinuation of the Service.

  1. Termination

We may suspend or terminate your account if:

  • You violate these Terms

  • You misuse recording features

  • You fail to pay subscription fees

Upon termination, your right to access and use the Service will immediately cease. We may, but are not obligated to, delete your data after termination in accordance with our data retention practices.

  1. Governing Law

These Terms shall be governed by the laws of the State of Utah, without regard to conflict of law principles.

Any disputes shall be resolved in the courts located in Utah County, Utah.

  1. Changes to Terms

We may update these Terms periodically.

Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.
